The Lamkin Grips Web site (the “Site”) is sponsored and owned by Lamkin (“Lamkin,” “we,” “us”). Access to and use of the Site is subject to the terms and conditions of this User Agreement and Copyright Notice (the “User Agreement”), the Privacy Policy and all applicable laws and regulations, including laws and regulations governing copyright and trademark.

BY ACCESSING THE SITE, YOU AGREE TO ACCEPT, WITHOUT LIMITATION OR QUALIFICATION, ALL OF THE TERMS AND CONDITIONS IN THIS USER AGREEMENT.

Lamkin reserves the right to change these terms and conditions from time to time by updating this posting. Any changes we make will be effective immediately after posting such changes on the Site. You agree not to modify, reproduce, retransmit, distribute, disseminate, sell, publish, broadcast, or circulate any such material without the written permission of Lamkin. Lamkin will use reasonable efforts to include accurate and up-to-date information on this Site, but makes no warranties or representations as to its accuracy.

The Site may contain links to other Internet web sites, which may or may not be owned or operated by Lamkin. Lamkin has not reviewed all of the web sites that are linked to the Site, and Lamkin has no control over such sites. You agree to indemnify, defend and hold Lamkin, our affiliates, licensors, suppliers, advertisers and sponsors, and our and their directors, officers, employees, consultants, agents and other representatives, harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys’ fees) and other expenses that arise directly or indirectly out of or from (a) your breach of this User Agreement; and/or (b) your activities in connection with the Site.

ACCESS BY MINORS

Pursuant to 47 U.S.C. TERMINATION

This Agreement shall remain effective until terminated in accordance with its terms. Either party may terminate this Agreement immediately upon notice to the other party. In addition, we reserve the right to immediately terminate this Agreement, and/or your access to and use of the Site or any portion thereof, at any time and for any reason, with or without cause. Upon termination of this Agreement by either party, your right to use the Site shall immediately cease, and you shall destroy all materials obtained from the Site and all copies thereof, whether made under the terms of this Agreement or otherwise.

MISCELLANEOUS

This Agreement is governed by and construed in accordance with the laws of the State of California, United States of America, without regards to its principles of conflicts of law. You agree to submit to the exclusive jurisdiction of any State or Federal court located in the County of San Diego, California, United States of America, and waive any jurisdictional, venue or inconvenient forum objections to such courts. If any provision of this Agreement is found to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire Agreement between us relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral Agreements between us with respect to such subject matter. This Agreement is not assignable, transferable or sublicenseable by you except with Company’s prior written consent. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained in this Agreement is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.
